Terms of Service

Topel Software Solutions, LLC provides software development, automation, AI solutions, consulting, and related services.

Specific deliverables, timelines, and pricing will be outlined in written agreements or proposals.

You agree to:

• Provide accurate information

• Supply required materials in a timely manner

• Use our services in compliance with applicable laws

Unless otherwise agreed in writing:

• Custom work created for clients becomes the client’s property upon full payment

• Pre-existing tools, general frameworks, and libraries remain the property of Topel Software Solutions, LLC

• We retain the right to reuse general knowledge, techniques, and non-confidential concepts

Payment terms and our quotes will be outlined in individual agreements.

Failure to pay may result in:

• Suspension of services

• Termination of access

• Late fees where permitted by law

Both parties agree to keep confidential information private unless disclosure is required by law.

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages

• Our total liability shall not exceed the amount paid for the past month of services rendered

We provide services “as is” and do not guarantee:

• Specific financial outcomes

• Increased revenue

• Error-free operation

Either party may terminate services according to the terms of the applicable agreement.

Outstanding payments remain due upon termination.

These Terms are governed by the laws of the State of Florida.
